1. Acceptance of Terms

By accessing or using the Service, you confirm that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

BrandGhost provides cloud-based software solutions for managing, scheduling, publishing, and analyzing social media content and engagement. The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied.

By using the Service in connection with YouTube, you agree to comply with the YouTube Terms of Service.

3. Account Registration & Eligibility

3.1 Single Account Policy

You may create only one (1) BrandGhost account per individual or business entity, unless expressly authorized in writing by BrandGhost.

• Creating, maintaining, or operating multiple accounts to circumvent usage limits, pricing tiers, feature restrictions, trials, or enforcement actions is strictly prohibited.
• BrandGhost reserves the right to identify, merge, suspend, or terminate duplicate or related accounts at its sole discretion.

3.2 Account Information

You agree to provide accurate, current, and complete information during registration and to keep such information up to date. You are responsible for safeguarding your account credentials and for all activities that occur under your account.

4. Acceptable Use & Platform Integrity

BrandGhost is a trusted partner of multiple third-party social media platforms. To protect platform integrity, user trust, and BrandGhost's application reputation, strict acceptable-use standards apply.

4.1 Prohibited Activities

You agree not to use the Service to:

• Engage in spam, AI-generated spam, low-quality mass posting, or automated content flooding
• Perform omni-posting, content blasting, or bulk cross-posting in a manner intended to manipulate reach, engagement, or algorithms
• Publish substantially identical or near-duplicate content across multiple platforms at unnatural frequencies
• Artificially inflate engagement, impressions, clicks, followers, or interactions
• Circumvent platform safeguards, rate limits, moderation systems, or policies
• Violate the terms, policies, or developer agreements of any connected third-party platform

4.2 Monitoring & Enforcement

You acknowledge and agree that BrandGhost may monitor usage patterns, posting behavior, content volume, and automation signals; investigate suspected misuse; and take corrective actions including throttling, feature restrictions, suspension, or termination. These measures are necessary to maintain compliance with third-party platform requirements and to protect BrandGhost's ability to continue offering integrations.

5. User Responsibilities

You agree to use the Service only for lawful purposes and in compliance with these Terms. You shall not:

• Use the Service in violation of any applicable law or regulation
• Interfere with or disrupt the integrity or performance of the Service
• Attempt unauthorized access to systems, data, or accounts
• Upload, transmit, or store harmful, deceptive, or illegal content

6. Subscription, Billing & Payments

Certain features require a paid subscription. By subscribing, you agree to pay all applicable fees as described at the time of purchase.

• Fees are billed in advance and are non-refundable, except where required by law
• BrandGhost may modify pricing with reasonable notice
• Abuse, policy violations, or enforcement actions do not entitle you to refunds

7. Intellectual Property

All intellectual property rights in the Service belong to BrandGhost or its licensors. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service solely for your internal business or personal use in accordance with these Terms.

8. Data Privacy

Your use of the Service is governed by our Privacy Policy, which is incorporated by reference. By using the Service, you consent to the collection and processing of data as described therein.

9. Suspension & Termination

BrandGhost may suspend or terminate your account at any time, with or without notice, if you violate these Terms; engage in prohibited or abusive behavior; or create risk to BrandGhost, its users, or third-party platform relationships. Upon termination, all rights to use the Service immediately cease.

10. Limitation of Liability

To the maximum extent permitted by law, BrandGhost shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the Service.

11. Indemnification

You agree to indemnify and hold harmless BrandGhost and its affiliates from any claims, damages, liabilities, or expenses arising out of your use of the Service or violation of these Terms, including violations of third-party platform policies.

12. Platform Liability Disclaimer

BrandGhost is not responsible for actions taken by social media platforms, including account suspensions, bans, reach limitations, content removals, or enforcement actions.

You acknowledge that: (a) all posting and engagement risks rest solely with you; (b) platform policies may change without notice; and (c) BrandGhost cannot guarantee platform acceptance or performance.

13. Governing Law

These Terms are governed by the laws of Ontario, Canada, without regard to conflict-of-law principles.

14. Changes to Terms

BrandGhost may update these Terms at any time. Changes take effect upon posting. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
